This End-User License Agreement ("Agreement") governs use of NWH Tool ("the Software"), a private, internal application developed by and for Pacific Homeworks Northwest LLC ("the Company").
1. Limited internal use
The Software is provided solely for the Company's internal business use in managing its own bookkeeping, job costing, and cash allocation. The Software is not licensed for use by, or distribution to, any third party. No license is granted to any person or entity other than the Company and individuals expressly authorized by the Company to operate the Software on its behalf.
2. No distribution
The Software is not offered to the public, is not listed in any app marketplace, and is not made available to other companies. Unauthorized copying, distribution, sublicensing, or commercial exploitation of the Software is prohibited.
3. QuickBooks Online access
When connected to QuickBooks Online, the Software accesses only the Company's own QuickBooks company data, under the com.intuit.quickbooks.accounting OAuth scope. The Software does not access third-party QuickBooks data. Authorized users may revoke the Software's QuickBooks access at any time from within QuickBooks Online (Settings → Apps).
4. No warranty
The Software is provided "as is," without warranty of any kind, express or implied. The Company makes no representations regarding the accuracy or fitness of the Software for any particular purpose. Authorized users are responsible for verifying that data produced by the Software is correct before relying on it for financial or tax decisions.
5. Limitation of liability
To the maximum extent permitted by applicable law, in no event shall Pacific Homeworks Northwest LLC be liable for any indirect, incidental, consequential, or punitive damages arising out of the use of, or inability to use, the Software, even if advised of the possibility of such damages.
6. Termination
This Agreement may be terminated at any time by the Company. Upon termination, all authorization to use the Software ceases, and any local copies of the Software and its data must be deleted.
7. Governing law
This Agreement is governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws principles. Any dispute arising under or in connection with this Agreement shall be resolved in the state or federal courts located in Pierce County, Washington.
8. Entire agreement
This document constitutes the entire agreement between the Company and authorized users with respect to the Software and supersedes any prior agreements or understandings on the subject.
